Your use of the Snips Media, LLC ("Snips Media" or "Snips") web site (snips.co, sni.ps) (the "Site"), influencer services, program management and advertising platform, and any other Snips Media tools and resources (as more fully defined below, the "Service") represents your agreement to comply with all terms, including notices, of this Service. Your use of the Service is governed by the following documents (each as defined herein): the Terms & Conditions, the Advertising Policy, any Subscription Agreements, and any additional contracts separately executed between you and Snips Media (collectively, the "Snips User Agreement"). Except as otherwise noted, Snips Media may change any of the terms set forth in the Snips User Agreement at any time and your use is subject to the changes. If you do not accept the Snips User Agreement, do not use the Service. Use or reproduction of the content or materials for any purpose not expressly permitted herein is prohibited. Snips Media reserves the right, in its sole discretion, to terminate your access to all or part of this Service, with or without notice.

GENERAL DISCLAIMER

All materials, information and services included in or available through this Service are provided "as is" and "as available" for your use. Snips Media disclaims all warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose or non-infringement. Snips Media does not warrant that the content of this Service is accurate, reliable or correct; that this web site will be available at any particular time or location; that any defects or errors will be corrected; or that the content is free of viruses or other harmful components. Your use of this Service is solely at your risk. Because some jurisdictions do not permit the exclusion of certain warranties, these exclusions may not apply to you.

GENERAL RULES

Influencers

The following rules apply to influencers who use the Service (each, a "Influencer"). If an Influencer is found to, or reported to, break any of the rules in the detailed Terms and Conditions or Advertising Policy (as applicable), their account may be removed and all earnings may be forfeited. We reserve the right to remove any Influencer, and mark any Influencer's earnings as forfeited, for any reason, at any time, in our sole discretion.

  1. Do not promote or advertise Snips Media, any advertising campaign, or post Snips links directly on any form of traffic exchange website, pay-to-click website, or any website that promotes such activities.
  2. Do not place Snips links anywhere that may contain adult material.
  3. Do not create links to any website URLs that contain adult material.
  4. Do not create links to any hacked websites, illegal content or software, or any malicious data or software, such as viruses, malware, Trojans, or spam.
  5. Do not create links to any digital content, software, or data that would violate or infringe upon DMCA copyright laws (http://lcweb.loc.gov/copyright/legislation/dmca.pdf).
  6. Do not offer any incentive for a visitor to click the Snips link, including gifts, points, or cash.
  7. Do not ask or beg people to click on a Snips link simply to generate revenue; they must want to visit the destination website.
  8. Do not create links to websites through any other link shortner or HTTP redirect. Only the direct link to the website may be used.
  9. Do not create "redirect loops" with similar services to generate revenue.
  10. Do not create spam with Snips links anywhere, including forums, chats, comments, blogs or social media.
  11. Do not participate in click "rings", pods, or other forms of exchanges in which you click on Snips links or posts in return for others to click yours.
  12. Do not use proxy servers or software that alter or hide your IP address or browser to generate revenue.
  13. Do not open a Snips link in a popup, floating frame, iframe, or any manner that would disrupt a visitor's navigation or deceive a visitor.
  14. Do not open a Snips link in any hidden window or iFrame that is not completely visible to the visitor.
  15. Only the Snips link must be opened when a user clicks on the link. No other links or windows may be opened.
  16. It is permitted to automatically redirect to a Snips link only with a HTTP Redirect (unless using one of our preapproved scripts, available on the Snips Media website). JavaScript redirect or meta-refresh is not allowed.
  17. The only legitimate way to open a Snips link is with a mouse click on the actual link.
  18. You may click on your own Snips links 1 time to test them. You may not click on your own link multiple times to generate revenue. You may not create links solely to "test".
  19. We reserve the right to not pay for advertising views generated by the owner of the Snips Media account on their own links if we identify fraud or misuse.
  20. You will be paid for a visitor that clicks on a Snips link only for an active advertising campaign, providing they meet the following criteria:
    1. The link opens in a real web browser or on mobile app with an embedded browser;
    2. They must have JavaScript and Cookies enabled;
    3. The viewer meets all the targeting requirements for an active campaign;
    4. The viewer completes the requirements for the particular campaign, for example the minimum view time, complete redirect, sign-up, or purchase.

Advertisers

The following rules apply to advertisers and any agents who represent advertisers and are authorized to act on their behalf (each, an "Advertiser"). If an Advertiser is found to, or reported to, break any of the rules in the detailed Terms and Conditions or Advertising Policy, as applicable, their account may be removed and all advertising may be stopped. We reserve the right to remove any Advertiser for any reason, at any time, in our sole discretion.

  1. You may not use, create, or generate Popups or Popunders.
  2. You may not introduce malware, spyware, exploits, viruses or any malicious code changes the visitor's computer in any way or affects their computer, either maliciously or with ill intent.
  3. You may not install any software or modify a visitor's computer without their knowledge and consent.
  4. You many not implement Cookie stuffing, or create a third-party cookie from an entirely different website without the user being aware of it.
  5. You may not advertise adult themed content. What is considered "adult themed content" is at the discretion of Snips Media.
  6. You may not use any form of frame breaking scripts or hacking techniques to get around cross-domain policies. Our Snips Media header must always remain intact.
  7. You may not participate in anything related to or considered illegal activity.
  8. You may not utilize any software, service or anything that may "trick" the visitor.
  9. We reserve the right to decline any advertisement on Snips Media, with a full refund.
  10. You will be charged for a visitor that views your advertisement by clicking on a Snips link, providing the visitor meets the following criteria:
    1. The link opens in a real web browser or on mobile app with an embedded browser;
    2. They viewer has JavaScript and Cookies enabled;
    3. The viewer meets all the targeting requirements for the campaign;
    4. The viewer completes the requirements for the particular campaign, for example the minimum view time, complete redirect, sign-up, or purchase.

TERMS AND CONDITIONS

Snips Media provides its Service to you subject to these terms and conditions (the "Terms & Conditions"). As used throughout these Terms & Conditions, the term "Snips Media" or "us" or "we" or "our" refers to the owner of the website snips.co, Snips Media, LLC. The term "you," "your," or "user," where appropriate, may refer to either general users, Influencers or Advertisers (as defined herein) who are using or viewing our Site or Service. If you are using the Site or Service on behalf of a company, corporation, or other entity, then the term "you," "your," or "user" refers to that entity.. The term "Content" refers to the website you are using in conjunction with the Service.

  1. Acceptance of Terms

    Each time you use or access to the Site or Service, you agree to be bound by these Terms & Conditions. These Terms & Conditions may be amended from time to time with or without notice to you. If you are using a particular service on or through this Service, you will be subject to any rules or guidelines applicable to those services, and they shall be incorporated by reference into these Terms & Conditions.

    While these Terms & Conditions generally apply to Influencers who use the Service, these terms also apply on occasion to non-Influencers as well as Advertisers. Therefore, by using the Site or Service, you further agree to be bound to the Snips Advertising Policy, available at http://sni/ps/advertising-policy(the "Advertising Policy"), which is incorporated herein by reference. These Terms & Conditions, together with the Snips Advertising Policy as well as any subscription agreement separately executed by you and Snips Media (each, a "Subscription Agreement") are collectively referred to as the "Snips User Agreement." In the event of any conflict between these Terms & Conditions or the Advertising Policy and any Subscription Agreement to which you are bound, the terms of the Subscription Agreement shall prevail solely to the extent of such conflicting terms. In the event of a conflict solely between these Terms & Conditions and the Advertising Policy, the terms of the Advertising Policy shall prevail solely to the extent of such conflict.

  2. Service Description
    1. Overview. Snips Media currently provides users with access to a collection of resources, including various social media management tools, communication tools, analytics, advertising and marketing platforms, forums, shopping services, personalized content, monetization tools, and its network of properties (the "Service"). The Service is available to influencers (each, an "Influencer") as well as advertisers, and agents who represent or work on behalf of an advertiser (each, an "Advertiser").
    2. Snips Advertising and Program Management Platform. As part of the Service, Snips also provides certain Influencer's and Advertiser's access to its Advertising and Program Management Platform (the "Snips Platform"). The Snips Platform, as well as your rights and responsibilities as an Influencer or Advertiser, is set forth in more detail in the Snips Advertising Policy.
    3. Use of Advertisements. You understand and agree that the Service may include advertisements and that these advertisements are necessary for Snips Media to provide the Service. You understand and agree that the Service may include non-personally-identifiable data collection, and that this non-personally-identifiable data collection is necessary for Snips Media to provide the Service. You understand and agree that the service may include certain communications from Snips Media, such as service announcements, administrative messages and the Snips Media Newsletter, and that these communications are considered a necessary part of Snips Media membership and you will not be able to opt out of receiving them if you wish to use all of the features available on the Service.
    4. Updates to the Service. Unless explicitly stated otherwise, any new features added to the current Service, including the release of new Snips Media properties, shall be subject to the Terms & Conditions. You understand and agree that the Service is provided "AS-IS" and that Snips Media assumes no responsibility for the timeliness, deletion, misdelivery, or failure to store any user communications or personalization settings.
  3. Registration

    In consideration of your use of the Service, you represent that you are of legal age to form a binding contract, and are not a person barred from receiving services under the laws of the United States or other applicable jurisdictions. In order to use certain aspects of the Service, including posting Snips links or otherwise providing influencer services on behalf of a specific Advertiser, you will be required to register for the Service and create an account ("Account"). You therefore agree to: (a) provide true, accurate, current and complete information about yourself as prompted by the Service's registration form (such information being the "Registration Data"), (b) maintain and promptly update the Registration Data to keep it true, accurate, current and complete and (c) agree to create only one Account per person. If you provide any information that is untrue, inaccurate, not current or incomplete, or Snips Media has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, Snips Media has the right to suspend or terminate your Account and refuse any and all current or future use of the Service (or any portion thereof).

  4. Account Security

    You will receive a password and account designation upon completing the Service's registration process. You are responsible for maintaining the confidentiality of the password and Account, and are fully responsible for all activities that occur under your password or Account. You agree to immediately notify Snips Media of any unauthorized use of your password or Account or any other breach of security. Snips Media cannot and will not be liable for any loss or damage arising from your failure to comply with this Section 4.

  5. User Conduct

    You understand that all information, data, text, software, music, sound, photographs, graphics, video, messages or other materials ("Content"), whether publicly posted or privately transmitted, are the sole responsibility of the person from which such Content originated. This means that you, and not Snips Media, are entirely responsible for all Content that you upload, post, email, transmit or otherwise make available via the Service. Snips Media does not control the Content posted via the Service and, as such, does not guarantee the accuracy, integrity or quality of such Content. You understand that by using the Service, you may be exposed to Content that is offensive, indecent or objectionable. Under no circumstances will Snips Media be liable in any way for any Content, including, but not limited to, for any errors or omissions in any Content, or for any loss or damage of any kind incurred as a result of the use of any Content posted, emailed, transmitted or otherwise made available via the Service.

    You agree to not use the Service to:

    1. share, link to, upload, post, email, transmit or otherwise make available any Content that is adult in nature, unlawful, harmful, threatening, abusive, harassing, tortuous, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable;
    2. harm minors in any way;
    3. impersonate any person or entity, including, but not limited to, a Snips Media official, forum leader, guide or host, or falsely state or otherwise misrepresent your affiliation with a person or entity;
    4. forge headers or otherwise manipulate identifiers in order to disguise the origin of any Content transmitted through the Service;
    5. share, link, upload, post, email, transmit or otherwise make available any Content that you do not have a right to make available under any law or under contractual or fiduciary relationships (including but not limited to inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements);
    6. share, link, upload, post, email, transmit or otherwise make available any Content that infringes any patent, trademark, trade secret, copyright or other proprietary rights ("Rights") of any party;
    7. share, link, upload, post, email, transmit or otherwise make available any unsolicited or unauthorized advertising, promotional materials, junk mail, spam, chain letters, pyramid schemes, or any other form of solicitation, except in those areas that are designated for such purpose;
    8. share, link, upload, post, email, transmit or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;
    9. disrupt the normal flow of dialogue, cause a screen to "scroll" faster than other users of the Service are able to type, or otherwise act in a manner that negatively affects other users' ability to engage in real time exchanges;
    10. interfere with or disrupt the Service or servers or networks connected to the Service, or disobey any requirements, procedures, policies or regulations of networks connected to the Service;
    11. intentionally or unintentionally violate any applicable local, state, national or international law, including, but not limited to, regulations promulgated by the U.S. Securities and Exchange Commission, any rules of any national or other securities exchange, including but not limited to, the New York Stock Exchange, the American Stock Exchange or the NASDAQ, and any regulations having the force of law;
    12. "stalk" or otherwise harass another; or
    13. collect or store personally-identifiable data about other users.
    14. attempt to falsify traffic in order to earn revenue, not limited to using automated bots, software programs, traffic exchanges, pods, or use any method used to disguise traffic through anonymous proxy servers, or alter the user agent of the browser.
    15. register more than one account per person, except when one is an Influencer account and one is an Advertiser account.
    16. offer any form of incentive to users who click on a Snips link, not limited to points, bonus, money, gifts, traffic, pods, or link exchange.

    You acknowledge that Snips Media may or may not pre-screen Content, but that Snips Media and its designees shall have the right (but not the obligation) in their sole discretion to prescreen, refuse, or move any Content (or Account) that is available via the Service. Without limiting the foregoing, Snips Media and its designees shall have the right to remove any Content or Accounts that violates the User Agreement (including these Terms & Conditions) or is otherwise objectionable. You agree that you must evaluate, and bear all risks associated with, the use of any Content or Accounts, including any reliance on the accuracy, completeness, or usefulness of such Content. In this regard, you acknowledge that you may not rely on any Content or Accounts created by Snips Media or submitted to Snips Media, including without limitation information in Snips Media message boards, and in all other parts of the Service.

    You acknowledge, consent and agree that Snips Media may access, preserve, and disclose your account information and Content if required to do so by law or in a good faith belief that such access preservation or disclosure is reasonably necessary to: (a) comply with legal process; (b) enforce the Terms & Conditions; (c) respond to claims that any Content violates the rights of third-parties; (d) respond to your requests for customer service; or (e) protect the rights, property, or personal safety of Snips Media, its users and the public.

    You understand that the technical processing and transmission of the Service, including your Content, may involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices.

    You understand that the Service and software embodied within the Service may include security components that permit digital materials to be protected, and use of these materials is subject to usage rules set by Snips Media and/or content providers who provide content to the Service. You may not attempt to override or circumvent any of the usage rules embedded into the Service. Any unauthorized reproduction, publication, further distribution or public exhibition of the materials provided on the Service, in whole or in part, is strictly prohibited.

  6. Services.

    The Service allows you to (i) create original content or access content to share, (ii) shorten and track URLs using the sni.ps domain; (iii) share content to different platforms directly or by scheduling posts; (iii) provide analytics and demographic insights on audience engagement on your posts; and (iv) monetize your social media, website, and other platforms by promoting branded and non-branded advertising campaigns.

  7. Social Media Data and API.

    Our Service uses application programming interfaces (API) from third-party social media platforms to post content and read content analytics. By using this Service you are also agreeing to the Terms of Services for YouTube, Facebook, Twitter, TikTok and Pinterest.

  8. Metrics.
    1. Certain features of the Service allow Snips Media to collect and track metrics, and generate analytics, relating to URLs shortened using the Service, bundles of shortened URLs created using the Service, and other metrics and analytics related to use of the Service ("Snips Media Metrics"). These Metrics include social media statistics, audience engagement analytics, audience demographic insights, and revenue earnings.
    2. You acknowledge and agree that all Snips Media Metrics are generated and owned by Snips Media, and that Snips Media has the perpetual, worldwide, exclusive right to use, license, sell or otherwise dispose of Snips Media Metrics for any purpose.
    3. While Snips Media makes best efforts to provide accurate metrics, Snips Media cannot and does not represent that the Snips Media Metrics will be 100% accurate or reliable.
  9. Submitted Content

    With respect to Content you submit or make available for inclusion on publicly accessible areas of the Service, you grant Snips Media the following world-wide, royalty free and non-exclusive license(s), as applicable:

    1. All Content added, created, uploaded, submitted, distributed, or posted to the Service by users, whether publicly posted or privately transmitted (collectively "User Content"), is the sole responsibility of the user who originated it. You acknowledge that all Content accessed by you using the Service is at your own risk and you will be solely responsible for any damage or loss to you or any other party resulting there from. When you delete your User Content, it will be removed from the Service. However, you understand that (i) certain User Content (e.g., previously shortened URLs and related Snips Media Metrics) will remain available and (ii) any removed User Content may persist in backup copies for a reasonable period of time (but will not following removal be shared with others).
    2. With respect to Content you submit or make available for inclusion on publicly accessible areas of the Service, the license to use, distribute, reproduce, modify, adapt, publicly perform and publicly display such Content on the Service for the purposes of providing and promoting the specific Service which such Content was submitted or made available. This license exists only for as long as you elect to continue to include such Content on the Service and will terminate at the time you remove or Snips Media removes such Content from the Service.
    3. With respect to photos, graphics, audio or video you submit or make available for inclusion on publicly accessible area of the Service, the license to use, distribute, reproduce, modify, adapt, publicly perform and publicly display such Content on the Service solely for the purpose for which such Content was submitted or made available. This license exists only for as long as you elect to continue to include such Content on the Service and will terminate at the time you remove or Snips Media removes such Content from the Service.
    4. With respect to Content other than photos, graphics, audio or video you submit or make available for inclusion on publicly accessible areas of the Service, the perpetual, irrevocable and fully sub-licensable license to use, distribute, reproduce, modify, adapt, publish, translate, publicly perform and publicly display such Content (in whole or in part) and to incorporate such Content into other works in any format or medium now known or later developed.
    5. With respect to Content in which you grant rights to Advertiser to (as part of a separate Influencer Agreement in connection with the Snips Platform), Influencer grants to Snips the same rights as are granted to Advertiser.

    "Publicly accessible" areas of the Service are those areas of Snips Media that are intended by Snips Media to be available to the general public. By way of example, publicly accessible areas of the Service would include Snips Media news and resources that are open to both members and visitors. However, publicly accessible areas of the Service would not include portions of Snips Media that are limited to members, Snips Media services intended for private communication such as private messages, or areas off of Snips Media such as portions of World Wide Websites that are accessible through via hypertext or other links but are not hosted or served by Snips Media.

  10. Influencer Earnings

    Influencers earn revenue based on a cost model and rate associated with each Advertisement Campaign, Influencer Program, or Influencer Promotion. Each month, Snips Media shall pay the influencer the balance for all earnings from the previous month on advertising campaigns, influencer programs, or program you participate in on the Snips Media platform, less a 10% service fee. Commissioned earnings on sales, including Social Market campaigns and Snips Media Collections, are applied only after sales have been posted. The balance and earnings for each link is only an estimate of the actual value earned. Discrepancies may arise in your balance and earnings listed on the Snips Media website and those published by the advertisers. Snips Media reserves the right to review and adjust your earnings at any time based on actual data that it acquires from Advertisers.

    If an Influencer's links or audience traffic does not match any active campaigns on the Service, then in such cases, the Influencer will not receive any earnings on link engagements, product purchases, advertisements, or lack thereof.

  11. Payments to Influencers

    Payments from Snips Media are made through PayPal (http://www.paypal.com) or check. Payments for earnings in a given month are generally disbursed after the first Monday of the next month and within net 30 days. Commissioned earnings through sales, including Social Market campaigns and Snips Media Collections, may be subject to net 60 days. The minimum amount required for an online payment is $1.00, and check payment is $10.00. However, Snips Media may elect to send smaller payments.

    For payments that are based on Influencer's participation in an Advertiser's Program on the Snips Media Platform, Snips Media can only release payments to Influencer after it receives notice from Advertiser that the Influencer has performed the requisite services. See the Advertising Policy for more information on disputes that may arise regarding payments.

  12. Referral Program
    1. Commission. We will pay you a Commission as described in the Service for each new customer who purchases a paid Subscription Plan after clicking on your Referral link made available by you, provided that you remain eligible to receive Commission pursuant to the terms of these Terms & Conditions. The start of the Subscription Plan is determined by the date of the first purchase or sign up (as applicable) of the Subscription Plan, and you will receive a Commission payment for that transaction only, regardless of any additional purchases made by that customer during their Subscription Plan. You will not be entitled to receive Commission on any additional paid Subscription Plans or puchases by that same customer.
    2. Eligibility. To be eligible for Commission (i) a valid Referral link must be shared by you, (ii) a new influencer must click through your Referral link and signup for the Service, (iii) a Subscription Plan must be purchased by that influencer within 90 days, (iv) and the influencer must remain a paid customer during for a minimum of 30 days (the "Locking Period") in the Subscription Plan. You will not be eligible to receive Commission or any other compensation from any transactions through fraudulent means, misuse of the Service or the Referral link, in violation of any program policies or Terms & Conditions, or by any other means that we deem to breach the spirit of the Referral Program.
  13. Subscription Plans

    Snips Media offers paid Subscription Plans based on monthly or annual payment plans to access advanced features, tools, and products (the "Products").

    1. Monthly Plans. For monthly Subscription Plans, we will charge you on the first day of your subscription term and automatically on the same date of each subsequent month ("Monthly Pay Date"). We will continue to charge you for your Plan on a monthly basis unless you decide to cancel at any time. If you cancel in the month preceding your Monthly Pay Date, you will not be issued any refunds or credits of prepaid and unused fees for the remainder of the subscription term and you will continue to have access to the Products until the following Monthly Pay Date.
    2. Annual Plans. For annual Subscription Plans, we will charge you on the first day of your subscription term and automatically on the same date of each subsequent year ("Annual Pay Date"). We will continue to charge you for your Plan on an annual basis unless you decide to cancel prior to the Annual Pay Date. If you cancel during the subscription term, you will not be issued any refunds or credits of any prepaid and unused fees for the remainder of the subscription term and you will continue to have access to the Products until the following Annual Pay Date. Snips Media reserves the right to increase subscription fees for your annual Plan on your Annual Pay Date.
    3. Payment By Invoice. If we invoice you for your Plan, your subscription term will be detailed on the service order and your payment will be due upon receipt of the applicable invoice. Unless otherwise specified on your service order, if we do not receive payment within thirty (30) days of us issuing you the invoice, your account may be suspended and you will lose access to the Products. Unless otherwise specified on your service order, your Plan will automatically renew at the end of the subscription term. If you would like to cancel your Plan, you can provide such notice via email to accounts@snips.co. Snips Media reserves the right to increase subscription fees upon renewal.
    4. Changes To Your Plan. If you choose to upgrade your Subscription Plan during your subscription term, you will be charged for the then-current price for the upgrade prorated based on the number of days remaining in your subscription term. The Subscription Plan will then automatically renew at the start of the next term. If you choose to downgrade your Plan, you will not be issued any refunds or credits for the unused and prepaid fees in connection with the downgrade or removal. Downgrading your Subscription Plan may cause the loss of content, features, or capacity of your account and we do not accept any liability for any such loss.
    5. Credit Card Authorization. By submitting your credit card information to Snips Media, you authorize Snips Media to store this information with its third party service providers and to charge the credit card account you have provided to us until your account is terminated. In addition, you authorize us to use a third-party payment processor in processing payments. If your credit card expires, or is declined or your Paypal information requires an update, we will provide you notice via email. If, for any reason, your payment cannot be completed through credit card or Paypal, we may suspend your account until we receive payment.
    6. Disputes and Late Payments. You must notify us in writing of any amounts you wish to dispute prior to the date such amounts would otherwise be due. Any undisputed amount not paid when due shall be subject to a finance charge of 1.5% of the unpaid balance per month or the highest rate permitted by applicable law, whichever is less, determined and compounded daily from the date due until the date paid. You will also be required to reimburse us for any costs or expenses (including any reasonable attorney fees) we incur to collect past due amounts. Any amounts due under these Terms shall not be withheld or offset by you against amounts due to you for any reason.
    7. Taxes. All payments you make are exclusive of federal, state, local, and foreign taxes, duties, tariffs, levies, withholdings, and similar assessments (including, without limitation, sales taxes, use taxes, and value-added taxes). You agree to be responsible for the payment of all such charges, excluding taxes based upon our net income. All amounts payable by you hereunder shall be grossed up for any withholding taxes imposed by any foreign government on your payment of amounts to Snips Media.
  14. Service URLs

    Snips Media will not remove any URLs or links associated with your Account, unless one of the Terms & Conditions stated is broken. In such circumstances, advertisements may be disabled on the link, or the link may be disabled entirely.

  15. Interactions with Other Service Users.

    You are solely responsible for interactions with other Service users. Snips Media shall not be responsible for any damage or harm resulting from your interactions with other users of the Service. When interacting with other users, you should exercise caution and common sense to protect your personal safety and property, just as you would when interacting with other persons whom you don't know.

    You understand that Snips Media does not have any obligation to screen users. Snips Media makes no representations or warranties as to user conduct. Snips Media reserves the right, without obligation, to: 1) monitor all interactions between users; and 2) take any action in good faith to restrict access to or the availability of any Content which Snips Media considers prohibited.

    NEITHER SNIPS MEDIA NOR ITS AFFILIATES OR LICENSORS IS RESPONSIBLE FOR THE CONDUCT, WHETHER ONLINE OR OFFLINE, OF ANY USER OF THE SERVICE AND YOU HEREBY RELEASE SNIPS MEDIA AND ITS AFFILIATES OR LICENSORS FROM ANY LIABILITY RELATED THERETO. SNIPS MEDIA AND ITS AFFILIATES AND LICENSORS WILL NOT BE LIABLE FOR ANY CLAIM, INJURY OR DAMAGE ARISING IN CONNECTION WITH YOUR USE OF THE SERVICE.

  16. Indemnity

    You agree to indemnify and hold Snips Media, and its subsidiaries, affiliates, officers, agents, co-branders or other partners, and employees (the "Released Parties"), harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of Content you submit, post, transmit or make available through the Service, your use of the Service, your connection to the Service, your violation of the User Agreement (including these Terms & Conditions), or your violation of any rights of another. Snips Media reserves the right to control the defense and settlement of any action or proceeding against any Released Party that you are bound to defend pursuant to the foregoing.

  17. Proprietary Rights

    The Service, together with the visual interfaces, graphics, design, compilation, information, computer code, products, software, services, and all other elements of the Service (excluding any licenses granted to Snips Media hereunder by you or third parties) (collectively, "Service Content") are protected by United States copyright, trade dress, patent, and trademark laws, international conventions, and all other relevant intellectual property and proprietary rights, and applicable laws. Unless expressly authorized in this Terms & Conditions or in writing by Snips Media, you agree not to sell, license, modify, distribute, reproduce, publicly display or perform, publish, or create derivative works from any Service Content available on the Service. Reproducing, copying or distributing any Service Content for any other purpose is strictly prohibited without the express prior written permission of Snips Media. You shall use the Service Content only for purposes that are permitted by this Terms & Conditions and any applicable laws and regulations. Any rights not expressly granted herein are reserved.

  18. Modification of Service

    Snips Media reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. You agree that Snips Media shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Service.

  19. Termination
    1. Termination by You. You may terminate your account at any time without cause, but you will not be entitled to any refunds of any prepaid and unused fees. Any unpaid fees under your Subscription Plan for the applicable subscription term will become immediately due and payable.
    2. Termination by Snips Media. We may restrict functionality of the Service and temporarily suspend your account if we reasonably believe that you have violated these Terms & Conditions. Unless we believe the need to restrict or suspend access is time-sensitive and requires immediate action without notice, or we are prohibited from providing notice under law or legal order, we will use commercially reasonable efforts to notify you by email prior to such suspension. You agree that Snips Media may, under certain circumstances and without prior notice, immediately terminate your Snips Media account and access to the Service. Cause for such termination shall include, but not be limited to, (a) breaches or violations of the User Agreement, Terms & Conditions or other incorporated agreements or guidelines, (b) you do not pay your fees in accordance with the payment terms under your Subscription Plan, (c) at the expiration of the subscription period of your Subscription Plan if we provide prior written notice to you, (d) requests by law enforcement or other government agencies, (e) a request by you, (f) discontinuance or material modification to the Service (or any part thereof), (g) unexpected technical or security issues or problems, and (h) extended periods of inactivity. Termination of your Snips Media account includes (i) removal of access to all offerings within the Service, including but not limited to Snips Media message boards, (ii) deletion of your password and all related information, files and content associated with or inside your account (or any part thereof), and (iii) potentially barring further use of the Service. Further, you agree that all terminations for cause shall be made in Snips Media's sole discretion and that Snips Media shall not be liable to you or any third-party for any termination of your account, any associated email address, or access to the Service.
    3. Post Termination. If your account is terminated, you must cease using the Service and Snips Media reserves the right to delete your account settings and Content within thirty (30) days of such cancellation or termination with no liability or notice to you. Once your account settings and Content are deleted, you will not be able to recover such account settings and Content.
  20. Disclaimer of Warranties

    YOU EXPRESSLY UNDERSTAND AND AGREE THAT:

    1. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. SNIPPS MEDIA EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
    2. SNIPPS MEDIA MAKES NO WARRANTY THAT (i) THE SERVICE WILL MEET YOUR REQUIREMENTS, (ii) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (iii) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE, (iv) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS, AND (V) ANY ERRORS IN THE SOFTWARE WILL BE CORRECTED.
    3. ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICE IS DONE AT YOUR OWN DISCRETION AND RISK AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL.
    4. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM SNIPPS MEDIA OR THROUGH OR FROM THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THE TERMS & CONDITIONS.
    5. A SMALL PERCENTAGE OF USERS MAY EXPERIENCE EPILEPTIC SEIZURES WHEN EXPOSED TO CERTAIN LIGHT PATTERNS OR BACKGROUNDS ON A COMPUTER SCREEN OR WHILE USING THE SERVICE. CERTAIN CONDITIONS MAY INDUCE PREVIOUSLY UNDETECTED EPILEPTIC SYMPTOMS EVEN IN USERS WHO HAVE NO HISTORY OF PRIOR SEIZURES OR EPILEPSY. IF YOU, OR ANYONE IN YOUR FAMILY, HAVE AN EPILEPTIC CONDITION, CONSULT YOUR PHYSICIAN PRIOR TO USING THE SERVICE. IMMEDIATELY DISCONTINUE USE OF THE SERVICE AND CONSULT YOUR PHYSICIAN IF YOU EXPERIENCE ANY OF THE FOLLOWING SYMPTOMS WHILE USING THE SERVICE -- DIZZINESS, ALTERED VISION, EYE OR MUSCLE TWITCHES, LOSS OF AWARENESS, DISORIENTATION, ANY INVOLUNTARY MOVEMENT, OR CONVULSIONS.
  21. Limitation of Liability

    YOU EXPRESSLY UNDERSTAND AND AGREE THAT SNIPS MEDIA SHALL NOT BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF SNIPS MEDIA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM: (i) THE USE OR THE INABILITY TO USE THE SERVICE; (ii) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH OR FROM THE SERVICE; (iii) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (iv) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SERVICE; OR (v) ANY OTHER MATTER RELATING TO THE SERVICE.

TAKE-DOWN REQUESTS, DMCA

Snips Media expressly prohibits users from uploading, posting, or otherwise distributing through the Service any content which may violate another party's privacy, publicity, intellectual property, or other rights. If any user believes in good faith that any content on the Service violates or otherwise infringes upon any user's rights, you are encouraged to contact Snips immediately to request that the allegedly offending content ("Offending Content") to be removed from the Service. To make such a request ("Take-Down Request"), you should submit the following information to Snips Media:

  1. the identity of the Offending Content in sufficient detail such that it can be readily located (e.g., "The photograph of available at http:// sni.ps/item123");
  2. User's name, mailing address, email address, and telephone number; and
  3. the name, user id, email, telephone phone number, and mailing address of the person you believe posted the Offending Content (as available).

If you believe in good faith that material appearing on this Service infringes your copyright, provide notification, pursuant to 17 U.S.C. § 512(c)(3)(A), to: support@snips.com.

Similarly, the DMCA provides that if you, in good faith, believe that a notice of copyright infringement has been wrongfully filed against you, you may send to our Copyright Agent a counter notice, subject to the requirements set forth in 17 U.S.C. § 512(g)(3) (2006).

Lastly, it should be noted that individuals making misrepresentations made in alleging that material appearing on this Snips Advertising Platform constitutes copyright infringement may be liable for damages pursuant to 17 U.S.C. § 512(f) (2006).

Snips Media will process proper Take-Down Requests, will promptly remove or disable access to any offensive or infringing content, and will terminate the accounts of repeat infringers.
